    Swedish Compliance Officer

    BettingJobs is working with a rapid growth casino games studio who specialise in high quality game design. Seeking to expand their remote based team in Sweden with a Swedish Compliance Officer
     
    Responsibilities:

    • Oversee corporate governance processes, ensuring compliance with the Swedish Code of Corporate Governance and other regulatory frameworks.
    • Ensure compliance with the regulations and rules applicable to companies listed on Nasdaq Stockholm.
    • Manage interactions with the Swedish Companies Registration Office (Bolagsverket), ensuring accurate filings and compliance with regulatory requirements.
    • Provide legal advice on corporate governance matters, board responsibilities, and shareholder relations, including capital raisings, annual general meetings, and other corporate transactions.
    • Ensure compliance with insider rules, the EU Market Abuse Regulation (MAR), and other relevant securities laws.
    • Support and advise on corporate transactions, such as mergers, acquisitions, and other capital market activities.
    • Manage and coordinate reporting obligations with regulatory bodies and ensure all documentation is filed accurately and on time.
    • Monitor and advise on any legal risks associated with the company’s governance and compliance practices.
    • Act as the primary point of contact between the company and external corporate legal counsel, regulatory offices, and relevant government bodies.

     
    Requirements:

    • 3-6 years of legal experience as a legal counsel within a listed company (preferably within the gambling industry) or as an associate from a Swedish law firm specializing in stock market law and corporate governance.
    • In-depth knowledge of the Swedish Companies Act, EU Market Abuse Regulation (MAR), Swedish Code of Corporate Governance, and other relevant regulations (including those applicable to Nasdaq Stockholm).
    • Proven experience managing board matters, shareholder relations, and compliance with securities law.
    • Strong understanding of capital raisings, corporate transactions, and compliance with insider rules.
    • Excellent verbal and written communication skills in both Swedish and English.
    • Strong analytical skills with a high level of attention to detail and accuracy.
    • Ability to handle complex legal issues and provide sound, pragmatic advice to senior management and the board.
    • Proven ability to collaborate with cross-functional teams, external legal counsel, and regulatory bodies to achieve common goals.
    • Prior experience in the gambling industry is highly desirable.
    • Proven ability to work in a fast-paced, dynamic environment while maintaining the highest standards of professional integrity and ethics.
